Before the submission of application, make sure that there is a reservation of proposed name of the company at the OCR.

For the company registration in Nepal, following process should be carried out at the OCR,

  1. Application to be submitted according to the such format, fees and along with such documents as prescribed,
  2. Where an application is made for the incorporation of a company pursuant to Section 4 of the companies act 2063, the Office will make necessary inquiries, register such company within 15 days after the date of making of the application and grant the company registration certificate to the applicant, in the format as prescribed,
  3. Tax Registration (VAT/PAN) at the Inland Revenue Office.

  2. The articles of association of the proposed company, 2 copies,
  3. A copy of the consensus agreement, if any, entered into,
  4. In the case of a public company, a copy of the agreement, if any, entered into between the promoters prior to the incorporation of the company,
  5. Approval or liscense is required according to the prevailing law if any particular type of bussiness or transaction needs to be carried out,
  6. A certified copy of the citizenship certificate and if a corporate body is a promoter, a certificate of registration of incorporation, decision of the Board of directors,
  7. Attested copies of the citizenship certificates of the founder shareholders incase of Public Company.

Fees for the company registration in Nepal depends on the capital of company registered.

  • Payments can be made at the OCR if the fee is upto Rs. 5000.
  • If the fee is more than Rs. 5000, such amounts should be deposited at the Nepal Rastra Bank or other commercial banks which are given permission by Nepal Rastra Bank in the ‘RAJASWA’ account number 1-1-05-10. Two copies of the voucher should be submitted in the account section of the OCR.

Following Process to be carried out at OCR for Company Registration in Nepal by Foreigners ;

  1. Permission should be obtained to carry out business, make investment or transaction within Nepal according to the company act 2063 of Nepal,

In case of the foreigner being a single person, an attested copy of his passport, and in case of the foreigner being a company, an attested copy of the company registration certificate and a copy of the decision regarding details of the investment to be made upon the aspiring company by the founder and an attested copy of the passport of the person representing the founder company,
